Draft — not yet reviewed by counsel. This page describes how the product actually behaves. It is not a legal agreement, and it has not been reviewed by a lawyer. Binding terms will replace this text before the product is offered commercially.

This is a pre-launch draft for attorney review, not a contract. Estate MVP is not yet offered commercially. This page records the product's actual behavior and the operating positions that final terms must address. Counsel must approve and replace this draft before paid launch.

Contracting party and eligibility

The final agreement must identify the exact LLC name, formation state, principal mailing address, and effective date. The intended service is a business tool for adults who can enter a binding agreement on their own behalf or for the business they represent. Account holders must keep their email account secure and promptly report suspected unauthorized access.

What the service does

Estate MVP organizes buyer criteria, matches investment properties against those criteria, and produces deterministic underwriting and confidence information. Where an operator has expressly authorized it, the system may prepare or send a preliminary, non-binding indication of interest to an eligible recipient.

Estate MVP does not act as a broker, lender, appraiser, title company, inspector, attorney, accountant, or investment adviser. Product outputs are decision-support information, not professional advice or a guarantee of value, financing, title, condition, a buyer, a sale, or a return.

Preliminary proposals are not purchase contracts

A preliminary proposal is an indication of interest, not an offer capable of acceptance. It creates no duty to purchase or sell. A transaction requires separate diligence, any legally required disclosures, and a definitive agreement executed by the appropriate parties. Automatically executing a binding real-estate purchase contract is not an available setting.

Customer responsibilities

  • Provide accurate account, buyer, property, pricing, and consent information.
  • Use only data and content the customer is authorized to collect, upload, and process.
  • Review estimates, matches, source dates, confidence limits, and proposed communications.
  • Maintain all licenses, registrations, disclosures, and supervision required where the customer operates.
  • Obtain legal, tax, valuation, title, inspection, and other professional advice when appropriate.
  • Protect access links, API keys, exported data, and workspace invitations.

Real-estate, wholesaling, assignment, and advertising rules

Real-estate licensing, wholesaling, assignment, equitable-interest advertising, and disclosure rules vary by state and may depend on the customer's activities. Estate MVP does not determine whether a customer's conduct requires a license. Customers must not market a property, contract, assignment, or ownership interest they are not legally permitted to market, or misstate ownership, authority, price, condition, or transaction status. Counsel must identify any state-specific restrictions needed before launch in a particular market.

Fair housing and prohibited criteria

The service may not be used to discriminate in housing or to create, infer, or apply criteria based on race, color, national origin, religion, sex, familial status, disability, or another characteristic protected by applicable law. Customers may not use demographic proxies, steering language, or discriminatory advertising. The product rejects known protected-class criteria, but that control does not replace the customer's obligations.

Data sources and licenses

Property and market information may come from customer entries, public records, licensed providers, and clearly labeled demonstration fixtures. Availability, permitted uses, retention, and coverage can differ by source. Customers may not use the service to evade a provider's access controls or terms. A source's observation date, confidence, and demonstration or live classification remain attached to derived outputs.

Email authorization and suppression

A contact's presence in a dataset is not permission to email that person. Customers must have the authority and any consent required for every communication. Sender information must be accurate, subject lines must not be deceptive, and required postal-address and opt-out information must remain in commercial messages. Estate MVP records opt-outs, hard bounces, and complaints in a suppression list and checks that list again immediately before sending. A customer may not bypass or remove a suppression to continue unwanted contact.

Subscriptions, renewals, and cancellation

The intended launch model is a 7-day trial followed by an optional monthly subscription. The checkout page must display the plan, price, currency, billing interval, trial terms, usage charges, and renewal date before purchase. A paid subscription is intended to renew each month until canceled. Customers must be able to cancel through the billing portal or by contacting billing support without an unreasonable barrier. The final agreement must state when cancellation becomes effective, what access remains, and the approved refund rule. See the refund and cancellation draft.

Suspension and termination

The final terms should permit proportionate action to protect customers and the service when there is suspected fraud, unlawful activity, abusive messaging, a security threat, repeated payment failure, or a material breach. The final text must explain notice, opportunities to cure where appropriate, access to exports, and what data is retained or deleted after termination.

Warranty, liability, disputes, and governing law

No operative warranty disclaimer, liability limitation, indemnity, arbitration provision, governing-law clause, or venue clause has been generated here. Those provisions materially affect legal rights and must be written or approved by counsel after reviewing the LLC's formation state, operating states, customer type, insurance, pricing, and real-estate workflow.

Changes and notices

Counsel must decide how much advance notice is required for material changes and which notices may be delivered electronically. The system should preserve the accepted policy version and timestamp when acceptance becomes part of onboarding.
